＜職務内容/役割・責任＞

企業コンプライアンスの管理

• 全ての取引契約書のレビューと必要な修正アドバイス
• 会社法に基づく取締役会・総会の運営・管理。
• 議事録の作成と管理
  会社登記をタイムリーに処理する。
• 取締役会との良好な関係構築
• 全社的なリスク・コンプライアンス、法務、知的財産の管理を主導する。
• 契約している外部会社と緊密に連携し、そのパフォーマンス効率を評価する。
• エンジニアリング部門と協力し、効果的な知的財産管理を行う。
• 競合他社の行動を監視し、ASの知的財産権や価値を侵害しないようにする。
• 必要な場合、社内関係者をサポートし、取引相手と交渉する。
• 社内関係者に対し、各事業活動に関する指導を行い、ガバナンス・コンプライアンス方針との整合性を確保し、リスク管理を行う。
• コーポレートガバナンス・コンプライアンスポリシーに沿った承認プロセスの管理、監視、運営。
• 実施すべき会社方針を計画し、作成する。
• ガバナンス・コンプライアンスのトレーニングを提供すべき領域を定義し、そのプログラムを計画し、トレーニング活動を実施する。
• ビジネス・プランニング＆ガバナンス部門およびASHDのステークホルダーと緊密に連携する。
• レポーティングマネージャーから随時割り当てられるその他の職務の役割を担う。
  

＜必須スキル＞

• コーポレート部門での5年以上の実務経験
• 日本会社法およびコーポレート・ガバナンスの実務に精通していること
• 論理的思考力、ビジネス分析力、ビジネスセンス
• コーポレートファイナンス、PL/BS会計の実務知識
• ドキュメンテーションリテラシー
• 英語の読み書き
• プロジェクトマネジメント

＜key activities / role and responsibilities＞  
Management of corporate compliance 

• Review all business contract and advise necessary revision. 

• Manage and administrate BoD meeting and General meeting in line with Japan Company Act. 
• Create meeting minutes and maintain in appropriate manner. 
• Handle the corporate registration with timely manner.  
• Build good relationships with Board of Directors. 
• Responsible for leading the company-wide management of risk and compliance,  legal and intellectual property. 

• Work closely with contracted external firms and evaluate their performance efficiency. 
• Conduct effective IP management in cooperation with Engineering Division. 
• Monitor competitors avitivities to ensure no imprison of AS IP rights and values.  
• Support internal parties in necessary cases with negotiation to business counter parties. 
• Provide coaching and guidance to heads of internal parties regarding each business activities to ensure their alignment with company governance/compliance policy as well as controlling their risk management. 
• Manage, monitor and administrate company approval process in line with corporate Governance and Compliance policy. 
• Plan and create required company policy that should be implemented.  
• Define the area that should be provided Governance and Compliance training and plan its programs as well as conducting training activities. 
• Work closely with functional managers in Business Planning & Governance Division as well as ASHD stakeholders. 

• Take roles of any other duties that may be assigned from time to time by the reporting manager 

<Mandatory> 

• Minimum 5 years’ experience of working in corporate function 
• Very familiar with Japan Company Act and practice of corporate governance 
• Well Logical thinking, keen eyes for business analysis and business acumen 
• Practical knowledge of corporate finance and PL/BS accounting 
• Documentation literacy    

• Proficiency English reading and writing 
• Project management
